1. About Townly and These Terms

These Terms and Conditions (“Terms”) govern your use of the Townly platform, accessible at townly.app and any associated mobile or web applications (collectively, the “Platform”), operated by Townly (“we”, “us”, or “our”).

Townly is a hyperlocal deals discovery platform that connects residents in London and across the UK with deals, offers, and promotions from local businesses including cafes, restaurants, salons, gyms, and wellness centres.

By accessing or using the Platform, you confirm that you are at least 13 years old, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, you must not use the Platform.

These Terms form a legally binding agreement between you and Townly. We may update them from time to time; continued use of the Platform after changes are published constitutes your acceptance of the revised Terms.

2. Definitions

In these Terms, the following definitions apply:

• “Platform” means the Townly website, web application, and any related services operated by us

• “User” means any individual who accesses or uses the Platform

• “Business Account Holder” means a business, trader, or individual who registers to list their business and post deals on the Platform

• “Consumer” means a User who browses and engages with deals posted on the Platform

• “Deal” or “Offer” means a promotion, discount, voucher, or special offer posted by a Business Account Holder

• “Listing” means a business profile page on the Platform

• “Content” means any text, images, data, deals, reviews, or other material submitted to the Platform

• “Subscription” means a paid plan allowing a Business Account Holder to list their business and post Deals

3. Account Registration

3.1 Creating an Account

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hello@townly.app if you suspect any unauthorised use of your account.

3.2 Account Eligibility

By creating an account, you confirm that:

• You are at least 13 years old (users aged 13-17 must have parental or guardian consent)

• You are not barred from using the Platform under applicable law

• You will not create more than one personal account without our express permission

• All information you provide is truthful and accurate

3.3 Account Suspension and Termination

We reserve the right to suspend or permanently terminate your account at our discretion, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or used the Platform in a way that may harm Townly, other users, or third parties.

You may close your account at any time by contacting us at hello@townly.app. Closing your account does not automatically entitle you to a refund of any active Subscription fees.

4. Consumer Terms

4.1 Use of the Platform

As a Consumer, you may browse Deals, save Listings, upvote offers, and follow businesses on the Platform free of charge. Your use of the Platform is subject to these Terms and our Acceptable Use Policy set out in Section 11.

4.2 Nature of Deals

Deals and offers displayed on the Platform are posted by Business Account Holders and are subject to the individual terms and conditions set by those businesses. Townly does not guarantee the accuracy, completeness, availability, or quality of any Deal.

You should always verify the current availability and terms of a Deal directly with the business before making any purchase or travel to claim it. Townly accepts no liability for Deals that have expired, been withdrawn, or whose terms have changed since posting.

4.3 No Contractual Relationship with Businesses

Townly is a discovery and marketing platform only. Any transaction, contract, or arrangement you enter into with a business you find through the Platform is solely between you and that business. Townly is not a party to such arrangements and accepts no responsibility for any disputes, losses, or dissatisfaction arising from them.

4.4 Geolocation Features

The Platform uses postcode-based geolocation to display relevant local Deals. By providing your postcode or location, you consent to this use. Location data is processed in accordance with our Privacy Policy.

5. Business Account Holder Terms

5.1 Business Subscriptions

To list your business and post Deals on the Platform, you must purchase a Subscription. Current pricing is displayed on our website and is subject to change with reasonable notice. All prices are exclusive of VAT unless stated otherwise.

By purchasing a Subscription, you agree to pay the applicable fees and acknowledge that Subscriptions are billed in advance on an annual basis unless otherwise stated.

5.2 What Your Subscription Includes

A standard Townly business Subscription includes:

• A publicly visible business Listing on the Platform

• The ability to post and manage active Deals

• Access to basic engagement analytics (views, saves, upvotes)

• The ability to respond to consumer enquiries via the Platform

Additional premium features, including enhanced analytics packages and featured placements, may be available at additional cost.

5.3 Accuracy of Business Information

You are solely responsible for ensuring that all information in your business Listing is accurate, complete, and kept up to date. This includes your business name, address, contact details, opening hours, category, and any Deal terms and conditions.

You must not misrepresent your business, its products or services, or the terms of any Deal. Townly reserves the right to edit, unpublish, or remove any Listing or Deal that we reasonably believe contains inaccurate or misleading information.

5.4 Deal Posting Requirements

When posting a Deal, you agree that:

• The Deal is genuine, currently available, and accurately described

• You have the authority to offer the promotion described

• Any stated discounts or savings are calculated honestly against a genuine regular price

• The Deal includes clear terms including validity dates, any restrictions, and redemption instructions

• You will honour the Deal for any Consumer who presents it within its stated validity period

5.5 Business Claiming

Where a Listing has been created by Townly or a third party on behalf of a business, the genuine business owner may claim the Listing by following our verification process. Claiming a Listing grants the business owner control over its content and deal postings.

By claiming a Listing, you confirm that you are an authorised representative of the business. Fraudulent claiming of a Listing is a serious breach of these Terms and may result in account termination and legal action.

5.6 Deal Scouts

Townly may engage independent Deal Scouts who photograph and submit Deals on behalf of local businesses. Businesses whose Deals have been submitted by a Scout will be notified and given the opportunity to claim and manage their Listing. Scout submissions are made in good faith; if any information is inaccurate, please contact us promptly at hello@townly.app.

6. Payments, Refunds, and Cancellations

6.1 Payment Processing

All payments are processed through our third-party payment provider. By providing payment details, you authorise us to charge the applicable Subscription fee. We do not store your full card details; these are handled securely by our payment processor.

6.2 Subscription Renewals

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We will send a reminder before renewal. You can cancel your Subscription at any time through your account settings or by contacting us at hello@townly.app.

6.3 Refunds

If you are a business purchasing a Subscription, you have a statutory right to cancel within 14 days of purchase (“cooling-off period”) and receive a full refund, provided you have not made active use of the business features during that period. After 14 days, or if you have activated your Listing or posted Deals, Subscription fees are non-refundable except where required by law.

If you cancel mid-term, your Subscription will remain active until the end of the paid period. No partial refunds will be issued for unused time unless we are in material breach of these Terms.

6.4 Price Changes

We may change Subscription pricing with at least 30 days’ written notice. Price changes will not affect your current active Subscription period; they will apply from your next renewal date.

7. Intellectual Property

7.1 Townly’s Intellectual Property

The Platform and all its content, features, and functionality (including but not limited to design, text, graphics, logos, icons, and software) are owned by or licensed to Townly and are protected by UK and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Platform without our prior written consent.

7.2 Your Content

You retain ownership of any Content you submit to the Platform, including business descriptions, Deal details, and images. By submitting Content, you grant Townly a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, modify, and distribute your Content for the purposes of operating and promoting the Platform.

You confirm that you own or have the necessary rights to submit any Content you post, and that your Content does not infringe the intellectual property rights of any third party. You indemnify Townly against any claims arising from Content you submit.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Platform, you agree that we may use these freely without any obligation or compensation to you.

8. User-Generated Content

Users may be able to submit reviews, comments, or other content on the Platform. By submitting such content, you confirm it is honest, accurate, and based on genuine experience. You must not post:

• Fake, incentivised, or misleading reviews

• Content that is defamatory, harassing, abusive, obscene, or offensive

• Content that infringes third-party intellectual property rights

• Spam, promotional content, or unsolicited advertising

• Personal data of third parties without their consent

We reserve the right to remove any user-generated content that we believe violates these Terms or is otherwise inappropriate, without notice or liability.

9. Disclaimers and Limitation of Liability

9.1 Platform Provided “As Is”

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.

9.2 Accuracy of Information

We make reasonable efforts to ensure the accuracy of information on the Platform but cannot guarantee that all Deal information, business details, or other content is accurate, complete, or current. We strongly encourage you to verify deal terms directly with the relevant business.

9.3 Limitation of Liability

To the fullest extent permitted by applicable law, Townly shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, business opportunity, or goodwill

• Losses arising from your reliance on any Deal or business information posted on the Platform

• Losses arising from your interactions or transactions with businesses found through the Platform

• Any interruption, suspension, or termination of the Platform

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

9.4 Consumer Statutory Rights

If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

10. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or advertisements. These are provided for convenience only. Townly does not endorse, control, or accept responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk.

Where the Platform integrates with third-party services (such as Google Maps or payment processors), your use of those services is subject to the relevant third party’s own terms and conditions.

11. Acceptable Use Policy

You agree not to use the Platform in any way that:

• Violates any applicable law or regulation

• Is fraudulent, deceptive, or misleading

• Infringes the rights of any third party, including intellectual property or privacy rights

• Transmits spam, unsolicited messages, or malicious software

• Attempts to gain unauthorised access to any part of the Platform or its underlying systems

• Scrapes, harvests, or extracts data from the Platform without our express written consent

• Interferes with or disrupts the Platform’s infrastructure, servers, or networks

• Impersonates any person, business, or entity

• Posts false, misleading, or defamatory content about any business or individual

• Uses the Platform to compete directly with Townly by building a similar service from its data

Breach of this Acceptable Use Policy may result in immediate suspension or termination of your account, and we reserve the right to report serious breaches to relevant authorities.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We are committed to resolving disputes fairly and promptly. Before commencing legal proceedings, please contact us at hello@townly.app so we can attempt to resolve the matter informally.

If you are a consumer, you may also have the right to use the Online Dispute Resolution (ODR) platform provided by the European Commission at ec.europa.eu/consumers/odr, or to seek assistance from a certified Alternative Dispute Resolution (ADR) provider.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Platform and, where appropriate, by email to the address associated with your account. The “Last updated” date at the top of this document reflects the most recent revision.

If you continue to use the Platform after changes come into effect, you are deemed to have accepted the revised Terms. If you do not accept the changes, you should stop using the Platform and, if applicable, cancel your Subscription before the changes take effect.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Townly regarding your use of the Platform and supersede any prior agreements or understandings.

14.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing to be effective.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, internet outages, government actions, pandemics, or third-party service failures.
